IPSE General Meeting (EGM)

Thank you for taking the time to review the papers on the proposed change in the IPSE Articles of Association.

There has been significant feedback from both ordinary and Board members that the current version of the Articles of Association are not fit for purpose due to issues including but not limited to:

Overly prescriptive restrictions on the Board’s operation of the organisation (eg membership categories)
Omission of key requirements (eg no stated limit to member liability)
Lack of clarity on wording (eg around Director and Chair appointments)

These issues have had a significant impact as the Board have navigated IPSE through the recent period of strategic change, delaying key decisions and incurring legal costs as clarity is sought.

The approach used in this update has been to take the existing Articles and amend them to address the issues above rather than start afresh from Model Articles. However, to address many omissions standard wording from Model Articles were used in several areas.

By taking this approach it is hoped that Members’ familiarity with the format will enable a more straightforward confirmation process than starting from scratch.
